LY Ads Campaign Editor Terms of Use

We provide this translation for your convenience. The Japanese version is the official language we use to enforce these Master Terms and Conditions.

These LY Ads Campaign Editor Terms of Use (hereinafter referred to as these "Terms of Use") apply when an advertiser (hereinafter referred to as the "User") who uses the advertising distribution service provided by LY Corporation (hereinafter referred to as "LY") under the name "LY Ads" (hereinafter referred to as the "Advertising Service") after agreeing to the Basic Provisions for Advertising Handling, uses the application software LY Ads Campaign Editor" (hereinafter referred to as "YCE") provided by LY.

YCE is a part of "Our Tools" as defined in the Basic Provisions for Advertising Handling, and the relevant provisions of the Basic Provisions for Advertising Handling apply to the use of YCE in addition to these Terms of Use. In the event of any conflict between these Terms of Use and the Basic Provisions for Advertising Handling, these Terms of Use shall take precedence.

Article 1 (Grant of License for YCE)

  1. LY grants the User a non-exclusive license to use YCE in accordance with the Basic Provisions for Advertising Handling and this Use Agreement (as defined in the following paragraph).
  2. A contract regarding the use of YCE incorporating these Terms of Use (hereinafter referred to as the "Use Agreement") shall be formed between LY and the User at the point when the User agrees to these Terms of Use and the use of YCE becomes possible for the User.
  3. Subject to compliance with the Basic Provisions for Advertising Handling and the Use Agreement, the User may use YCE and the information, functions, files, etc., generated by LY through YCE (hereinafter referred to as the "Subject Information, etc.") solely for the purpose of operating the Advertising Service (referring to applications for advertisement placement, setting of conditions, management, and confirmation; the same shall apply hereinafter).
  4. If LY releases a new version of YCE or makes modifications to the current version, the Basic Provisions for Advertising Handling and these Terms of Use shall also apply to such versions. The User shall, at their own responsibility, promptly update to and use the latest version of YCE. The User acknowledges in advance that if they do not update YCE, some or all of the functions of YCE may become unavailable.

Article 2 (Conditions of Use)

  1. The User may, at their own responsibility and in accordance with the procedures prescribed by LY, install YCE on a PC managed by the User or an advertising agency representing the User based on the Basic Provisions for Advertising Handling (limited to use for the purposes specified in Article 1, Paragraph 3).
  2. In using YCE, usage restrictions or functional limits, such as a maximum number of uses or a maximum number of Advertising Service accounts that can be managed as specified by LY in advance, may be set. The User shall not use YCE in excess of such restrictions. LY may add or change such usage restrictions at any time at its own discretion.
  3. The User shall not decipher or attempt to decipher the source code of YCE through methods such as reverse engineering or disassembling.
  4. Except as clearly provided for in the Use Agreement or with the prior written consent of LY, the User shall not assign, lend, or sublicense YCE to any third party, whether for value or free of charge, nor shall the User use or provide YCE, the Subject Information, etc., or services utilizing these for the services of other business operators.
  5. All patent rights, copyrights, and any other intellectual property rights relating to YCE and the Subject Information, etc., belong to LY or its licensors, and the User shall not engage in any act that infringes upon these rights.
  6. Except in cases arising from the willful misconduct or gross negligence of LY, the User shall bear all responsibility for the use of YCE and the results thereof. The User shall respond to inquiries, complaints, etc., from third parties regarding the use of YCE at their own cost and responsibility, even if such issues arise after the termination of the use of YCE.

Article 3 (Use of Information)

The User agrees that LY may collect and use information regarding the status of use of YCE and the Advertising Service via YCE (including for the purpose of improving YCE, effectiveness analysis, etc.).

Article 4 (Usage Fees and Expenses)

  1. The usage fee for YCE shall be free of charge. However, please be aware that usage fees may be charged in the future. In such cases, prior notice will be provided.
  2. All expenses required to use YCE (including communication costs and costs for procuring the usage environment) shall be borne by the User.

Article 5 (No Warranty)

LY makes no warranties whatsoever regarding YCE and the Subject Information, etc., including warranties of merchantability, accuracy, fitness for a particular purpose of the User, absence of bugs or defects, non-infringement of third-party rights, and the provision of support or version upgrades.

Article 6 (Limitation of Liability)

  1. Except in cases arising from the willful misconduct or gross negligence ofLY, LY shall not be liable for any damages incurred by the User in connection with the use of YCE, the inability to use YCE, the results thereof (including results based on instructions or advice provided by LY in relation to YCE and the Subject Information, etc., or additions or changes made based thereon), or otherwise related to the Use Agreement.
  2. Notwithstanding any other provision of the Use Agreement, if LY bears liability for default or damages to the User in connection with the Use Agreement, the scope of such compensation shall be limited to direct and ordinary damages. LY shall bear no responsibility for damages arising from special circumstances, lost profits, loss of business opportunities, costs incurred by the User to obtain an alternative system, or damages associated with the loss of data (even if LY had been notified by the User or a third party in advance of the possibility of such damages occurring).

Article 7 (Use of Trademarks, etc.)

The User shall not create or use pamphlets or other materials bearing service marks, logos, or other trademarks such as "LY," or the trade name of LY (including its affiliates, partners, etc.) without the prior written consent of LY.

Article 8 (Confidentiality)

  1. LY and the User shall keep strictly confidential the fact of the conclusion of the Use Agreement and any trade secrets of the other party (as defined in Article 2, Paragraph 6 of the Unfair Competition Prevention Act) acquired through the Use Agreement which the other party has specified as confidential at the time of disclosure (hereinafter referred to as "Confidential Information") during the term of the Use Agreement and for two years after its termination. Neither party shall disclose, provide, or leak Confidential Information to a third party or use it for any purpose other than the performance of the Use Agreement without the prior written consent of the party disclosing the information (hereinafter referred to as the "Discloser"). However, if a disclosure request with legal force is made by a public institution, the information may be disclosed to the extent of such request, provided that the Discloser is promptly notified.
  2. Notwithstanding the preceding paragraph, information falling under any of the following items shall not constitute Confidential Information:
    - Information already possessed by the recipient at the time of disclosure.
    - Information independently generated by the recipient without reliance on Confidential Information.
    - Information already in the public domain at the time of disclosure.
    - Information that becomes public after disclosure through no fault of the recipient.
  3. LY and the User may disclose Confidential Information received from the other party to their officers and employees only to the extent necessary for the performance of the Use Agreement, and to third parties who owe a professional duty of confidentiality, such as lawyers or tax accountants. However, the party disclosing information to such a third party must impose confidentiality obligations equivalent to those in the Use Agreement on said third party, ensure compliance, and bear all responsibility to the Discloser for the handling of Confidential Information by said third party.

Article 9 (Termination of the Use Agreement)

  1. The User may terminate the Use Agreement at any time by uninstalling YCE.
  2. LY may terminate the provision of YCE at any time, and the Use Agreement shall terminate without any procedures upon the termination of the provision of YCE.
  3. LY shall bear no responsibility to the User regarding the termination of the provision of YCE as described in the preceding paragraph.
  4. Notwithstanding the provisions of the preceding three paragraphs, if all contracts regarding the Advertising Service between the User and LY are terminated for any reason, the Use Agreement shall also terminate.

Article 10 (Rescission)

  1. If the User falls under any of the following items, LY may immediately suspend the performance of or rescind all or part of the Use Agreement or the contract regarding the Advertising Service without requiring a demand or any other procedure. Such rescission shall not preclude a claim for damages.
    - Violation of the usage conditions of YCE set forth in Article 2.
    - In addition to the preceding item, violation of the Use Agreement or the Basic Provisions for Advertising Handling, where such violation is not cured or performed within a reasonable period specified by LY after demand.
    - Engagement in an act that harms the fame, credit, or reputation of LY or the websites or services operated by LY, and the User fails to take corrective measures even after two weeks have passed from the date of the request for corrective measures.
    - Seizure, provisional seizure, provisional disposition, compulsory execution, or a petition for auction is made due to deterioration of assets or credit status, etc., or the User receives a demand for delinquent taxes and public charges.
    - Receipt of a disposition for suspension of business or cancellation of a business license or registration from a supervisory authority.
    - A petition for the commencement of bankruptcy proceedings, civil rehabilitation proceedings, corporate reorganization proceedings, special liquidation, or other legal insolvency proceedings is filed, or the User enters into procedures for dissolution (including dissolution based on laws and regulations), liquidation, or private settlement.
    - A resolution is passed for capital reduction, abolition or suspension of business, or transfer of all or a significant part of the business.
    - A bill or check is dishonored, or the User otherwise becomes insolvent or suspends payments.
    - There is a change in major shareholders or management, and it is determined by the other party that it is inappropriate to continue the Use Agreement.
    - Violation of laws and regulations.
    - It is found that a party, a person specially interested in the party (meaning officers, their spouses, relatives within the second degree of kinship, companies whose majority of voting rights are owned by these persons, and affiliates and their officers; the same shall apply hereinafter), an important employee of the party, a major shareholder, or a business partner, etc., is an anti-social force (meaning organized crime groups, members of organized crime groups, quasi-members of organized crime groups, companies related to organized crime groups, corporate racketeers, groups engaging in social movements under the guise of social activism, political racketeering, special intelligence organized crime groups, and those similar thereto; the same shall apply hereinafter), or if involvement between the party, its specially interested persons, its important employees, its major shareholders, or its business partners, etc., and anti-social forces becomes clear.
  2. If the User falls under any of the items in the preceding paragraph, all debts owed to LY shall immediately lose the benefit of time.
  3. Rescission of the agreement based on Paragraph 1 of this Article shall not preclude LY from claiming damages against the User.

Article 11 (Processing at the Time of Termination)

If the Use Agreement is terminated (except when the Use Agreement is terminated based on Article 9, Paragraph 1), the User shall immediately uninstall YCE and shall follow any instructions from LY.

Article 12 (Prohibition of Assignment of Rights and Obligations)

The User shall not assign, pledge, or otherwise dispose of all or any part of the rights and obligations arising from the Use Agreement to a third party without the prior written consent of LY.

Article 13 (Changes)

LY may change any of the provisions of these Terms of Use at any time, and the User shall check and accept the Terms of Use effective at that point in time. If the User continues to use YCE after such changes, the provisions of the revised Terms of Use shall also apply to the Use Agreement already in effect.

Article 14 (Matters for Consultation)

Any matters not provided for in the Use Agreement and any doubts regarding the interpretation of the Use Agreement shall be resolved through sincere consultation between the User and LY.

Article 15 (Governing Law)

The formation, validity, performance, and interpretation of the Use Agreement shall be governed by the laws of Japan.

Article 16 (Exclusive Agreed Jurisdiction)

With respect to litigation regarding the Use Agreement, the Tokyo District Court or the Tokyo Summary Court shall be the exclusive agreed jurisdiction court of the first instance, depending on the amount of the claim.
